1. Agreement to Terms

Welcome to GenixPlay Technologies. By accessing our website, purchasing software development services, or placing an order with us, you agree to be bound by these Terms and Conditions. Please read them carefully before initiating any project or transaction with us.

3. Client Contracts & Quotations

As a software solution provider, GenixPlay Technologies operates on tailored project agreements. Specific policies, technical specifications, project scopes, payment terms, and delivery schedules will be listed in each individual client contract and quotation that will be provided to the client upon orders. In the event of any inconsistency between these general terms and a signed client contract/quotation, the provisions of the specific client contract/quotation shall prevail.

4. Payments & Payment Gateway

Payments for orders, development milestones, or consultations may be processed via our approved payment gateway, PayHere, or via direct bank transfer as agreed in your quotation.

• All prices and payment schedules are stated in LKR or USD as indicated in your quotation.
• Clients must adhere to the milestone payment schedule specified in their contract.
• GenixPlay Technologies reserves the right to pause project development if scheduled milestone payments are delayed.

5. Intellectual Property Rights

Upon 100% full payment of all contracted fees, ownership of customized software deliverables created specifically for the client transfers to the client, subject to the terms of the signed client contract. GenixPlay Technologies retains rights to pre-existing proprietary tools, frameworks, and reusable code libraries used in building the application.

6. Client Responsibilities

Clients are required to provide prompt feedback, necessary assets, brand assets, API credentials, and required content to enable timely project completion. Delays caused by late client submissions may extend project delivery timelines.

7. Limitation of Liability

GenixPlay Technologies provides software engineering services with professional care and skill. We are not liable for indirect, incidental, or consequential damages resulting from third-party hosting failures, external API outages, or unauthorized third-party modifications to delivered code after client handover.

8. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
